2024年4月4日、デラウェア州最高裁判所は、In re Match Group Inc.の株主代表訴訟において、Kahn v. M&F Worldwide Corp.事件（以下「MFW事件」）が挙げる全ての要件が満たされない限り、支配株主が株式数に比例しない利益を受ける全ての利益相反取引について、完全な公正性基準に基づく審査（entire fairness standard of review）が適用される、と判示した。また、同裁判所は、MFW事件に基づく経営判断の審査（business judgment review）を適用するためには、特別委員会のメンバー全員が独立していなければならない、とした。
Match事件では、Match Group, Inc.（以下「Match Group」）の少数株主が、IAC/InterActiveCorp（以下「IAC」）の支配下にある子会社（Match Group）からIACが分離することの公正性について争う訴訟を起こした。当該リバース・スピンオフは、Match Groupの独立委員会の承認と少数株主の過半数の承認を得ていた。しかし、これらの承認にもかかわらず、原告は、この取引はスピンオフ元の会社に支配株主よりも低価値の資産を残す不公正なものである、として提訴した。
控訴審において、同裁判所は、支配株主が取引の両当事者の立場に立ち、株式数に比例しない利益を受ける利益相反取引を争う訴訟においては、完全な公正性基準に基づく審査（entire fairness standard of review）が引き続き推定的な審査基準であり、経営判断審査（business judgment review）が適用されるためには、被告はMFW事件の両要件（[1]独立した特別委員会による交渉と[2]少数株主の過半数（majority of minority stockholders）の十分な情報に基づく投票による承認）を満たす必要がある、とした。しかし、同裁判所は、MFW事件の要件の1つのみを満たす場合、完全な公正性の立証責任は原告に移るが、審査基準は変更されないことを確認した。最終的に、同裁判所は、MFW事件の枠組みは、完全に独立した取締役のみからなる取締役会で構成される特別委員会を必要とすることを確認した。
