On September 24, a federal judge held the amendment likely violates the dormant Commerce Clause.

Partner Lucy Blake and Senior Associate Karam Jardaneh authored an article for FT Adviser examining new FCA guidance on how firms should handle employees' personal social media activity.

In July 2026, in Signant Health Hold Corp. v. Definium Therapeutics, Inc., No. 26-114-GBW (D. Del.), Judge Gregory Williams dismissed a complaint bringing claims of trade secret misappropriation under the Defense of Trade Secrets Act (DTSA) and state law claims of breach of contract and violation of the Delaware Uniform Trade Secrets Act, finding that the plaintiff failed to properly identify a trade secret under DTSA and declining to exercise supplemental jurisdiction over the state law claims.

On June 15, 2026, the Delaware Court of Chancery issued its decision in Ayers v. Foley (C.A. No. 2025-0650-LWW), the first opinion interpreting Section 144(d)(2) of the Delaware General Corporation Law (DGCL), as amended by Senate Bill 21 (SB 21). The Court held that this provision’s heightened presumption of director disinterestedness is not limited to Section 144's safe harbors for conflicted transactions – it also applies when a court decides whether a stockholder plaintiff can skip demanding
