On Dec. 24, Jenner & Block advised its client Cizzle Brands Corporation in connection with the credit facility executed in the completion of its acquisition of Flow Water Inc. from RI Flow Sub LLC. Cizzle Brands is a Toronto-based sports nutrition company that is elevating the game in health and wellness.

On July 7, Jenner & Block advised its client Ceres Global Ag Corp. in completing its sale to Bartlett Grain Company LLC, a Savage company. Bartlett’s integration of Ceres is focused on long-term growth; leveraging the combined team’s deep agricultural expertise and shared values around service, integrity, and operational excellence.

On July 2, Jenner & Block advised its client Theratechnologies Inc. in entering into a definitive arrangement agreement to be acquired by CB Biotechnology LLC, an affiliate of Future Pak LLC. Theratechnologies is a Quebec-based commercial-stage biopharmaceutical company focused on the commercialization of innovative therapies.

On June 11, Jenner & Block advised its client The Campbell Center in completing its merger with New Horizons. This merger marks a pivotal moment, uniting two San Fernando Valley, California based non-profits that have each served the neurodiverse community for 70 years. The Campbell Center supports adult individuals with developmental and intellectual disabilities through supported employment, community integration services, and residential services.

On May 20, Jenner & Block advised its client Ceres Global Ag Corp. in entering into an arrangement agreement for Ceres to be acquired via an all-cash transaction by a newly formed entity controlled by Bartlett Grain Company, LLC— part of the Savage family of companies focused on the acquisition, storage, transportation, processing, and merchandising of grain. Ceres and its subsidiaries connect farmers to customers around the world and add value across agricultural, energy, and industrial supply

On February 12, 2025, the Division of Corporation Finance (Staff) of the US Securities and Exchange Commission (SEC) issued Staff Legal Bulletin No. 14M (SLB 14M) concerning shareholder proposals for public company proxy statements. SLB 14M rescinds the Staff’s social and ethical policy-focused Staff Legal Bulletin No. 14L (SLB 14L) from 2021, and will make it easier for a public company to exclude from its proxy statement certain types of shareholder proposals made by activist stockholders. (NYSE: ACI) have entered into a definitive agreement with C&S Wholesale Grocers, LLC for the sale of select stores, banners, distribution centers, offices, and private label brands as a key step in their merger process.

In a high-profile transaction that received coverage around the US, Albertsons and Kroger announced last week that the supermarket chains would merge into a combined company with an expanded customer reach of about 85 million households. Valued at $25 billion, the deal is one of the largest this year. It is expected to close in early 2024.

Theratechnologies Inc., a Montreal based biopharmaceutical company focused on the development and commercialization of innovative therapies, secured a $100 million non-dilutive term loan from Marathon Asset Management. A portion of the loan proceeds will be used to repurchase some of the company’s outstanding convertible notes. The Credit Agreement was signed on July 20th.

Aurora Cannabis signed a bought-deal offering that closed on June 1 for total gross proceeds of $172.5 million. Aurora plans to use the net proceeds of the offering for general corporate purposes.

Nomad Royalty Company Ltd. signed a deal with Sandstorm Gold Ltd. on May 2 that will create the highest growth, most liquid mid-tier royalty company. In the arrangement, Sandstorm agreed to acquire all of the issued and outstanding shares of Nomad in an all-share transaction valued at approximately $590 million. Under the terms of the deal, which is expected to close in the second half of 2022, Nomad shareholders will receive 1.21 common shares of Sandstorm for each Nomad Share held.

On July 23, biopharmaceutical company Theratechnologies Inc. established an at-the-market equity program allowing it to issue and sell up to $50 million of its common shares to the public at the prevailing market price. On May 20, a securities team from Jenner & Block’s Corporate Department closed on a new $300 million at-the-market (ATM) offering facility for Aurora Cannabis Inc., which is listed on the New York and Toronto Stock Exchanges under the stock symbol “ACB.” The ATM facility enables our client to sell, from time to time, up to $300 million of its shares at times of its choosing by tendering notice to the banks with which it entered into the facility (functioning a bit like the corporate equivalent

On May 27, 2021, firm client Shift Technologies, Inc., a leading end-to-end ecommerce platform for buying and selling used cars, completed a  convertible debt offering. In a press release, the company announced the pricing of an upsized offering of $125 million aggregate principal amount of 4.75% convertible senior notes due 2026 in a private offering. Shift also granted the initial purchasers of the notes an option to purchase up to an additional $25 million aggregate principal amount of the

Galaxy Digital Holdings is a financial services and investment management innovator in the digital asset, cryptocurrency, and blockchain technology sectors. On May 5, the company announced that it has agreed to acquire BitGo, the leading independent digital assets infrastructure provider, for $1.2 billion. The acquisition positions Galaxy Digital as a leading global full-service platform for institutions seeking access to the crypto economy.

On February 3, Silgan Holdings Inc. announced that it had priced its previously announced private offering of senior secured notes.  Silgan announced that it had entered into an agreement to sell $500 million aggregate principal amount of its 1.4% Senior Secured Notes due 2026 at 99.945 percent of their principal amount.  The transaction is expected to close on or about February 10.  The new notes will mature on April 1, 2026.

A Jenner & Block team, led by Partner Martin C. Glass, served as US counsel to Aurora Cannabis in a bought-deal offering that closed on January 26 for total gross proceeds of $137.9 million. Aurora plans to use the net proceeds of the offering to fund general corporate purposes, including reducing debt.

On January 19, biopharmaceutical company Theratechnologies Inc. closed its bought-deal public offering of units of the company, including the full exercise of the over-allotment option, for aggregate gross proceeds of more than $46 million. The company plans to use the net proceeds of the offering to fund research and development activities, commercialization initiatives, general and administrative expenses, working capital needs, and other general corporate purposes.
