Hannah Schwab assists businesses in capital markets transactions, securities compliance, and mergers and acquisitions involving the aerospace and defense, life sciences, and technology industries. Hannah plays a key role in advising issuers with respect to public securities offerings, including offerings of equity and debt securities, secondary offerings, and at-the-market offerings, including drafting registration statements and offering memorandums. In addition, she counsels clients on continuous reporting and corporate governance requirements under US securities laws, executive compensation, and fiduciary duty matters.
Hannah focuses on counseling businesses in highly regulated industries, including automotive, cannabis, and sports betting. Having served as the managing editor for the Chicago-Kent Law Review and receiving five CALI Excellence for the Future Awards in law school, including in Securities Regulation and Executive Compensation, Hannah combines experienced judgment with a passion for the industries she works with. She also serves as a member of Jenner & Block’s Associates Committee.
