We have been asked to share observations of what we are seeing and hearing in the commercial and residential real estate space in relation to COVID-19.  Of course, the specifics of any owner’s or tenant’s situation will depend on the specific terms of lease and/or loan documents and state and local laws.  Those types of specific circumstances notwithstanding, some general observations can be drawn.

As the crisis arising out of the COVID-19 virus and disease continues, efforts are already underway at the state and federal level to enact legislation to help corporate policyholders obtain insurance coverage for business interruption losses and closures arising out of the pandemic.  Progress on these pieces of legislation will be closely watched by corporate policyholders everywhere and can serve as a model for those that seek to advocate for similar legislation elsewhere.

In Jenner & Block’s continuing guidance on financial and tax relief provisions related to the COVID-19 emergency, below is a discussion of Illinois’s and Chicago’s tax deferral announcements and fund creation and Small Business Administration loans for small business.  Cook County, so far, has announced tax relief for businesses on a case by case basis.  

With various US jurisdictions taking disparate approaches to containing the COVID-19 pandemic, businesses are being forced to navigate a patchwork of orders and declarations dictating which operations are “essential”—and therefore exempt from any closure orders—and which are not.  

On March 21, 2020, the cybersecurity provisions of the New York “Stop Hacks and Improve Data Security” (SHIELD) Act go into effect.  The SHIELD Act puts New York into the small but growing list of states requiring that companies that control resident data take specific actions to protect that data.  While much ink has been spilt on the move by New York to join this minority, the requirements of the SHIELD Act are likely familiar to businesses that have been taking steps to protect consumer data.
