Mercedes M. Hill has experience in such matters as mergers and acquisitions, divestitures, reorganizations, private equity investments and debt financing transactions.

She played a key role in the Firm’s representation of GM in the 2009 sale of substantially all of its assets to a newly-formed entity sponsored by the U.S. Treasury in connection with GM's voluntary petitions for relief under Chapter 11 of the Bankruptcy Code.  She also represented GM in the sale of its Allison Transmission business to The Carlyle Group and Onex Corporation for $5.6 billion.

With respect to debt financing transactions, Ms. Hill represents corporate borrowers and private equity portfolio investments with credit facilities ranging from $20 million to $300 million.  Most recently, she played a key role in the Firm’s representation of HHI Group Holdings, LLC in connection with the financing of a $100 million asset based revolving credit facility and a $200 million leveraged term loan.

Ms. Hill is a member of the Firm's Mergers & Acquisitions, Private Equity/Investment Management, Securities and Corporate Finance Practices. She serves the Firm as a member of the Hiring Committee and the Associate Board of the Diversity and Inclusion Committee.
