Jerry J. Burgdoerfer is Co-Chair of Jenner & Block’s Securities Practice.  He counsels clients on complex mergers, acquisitions, private equity transactions, registered spin-offs, dispositions, securities offerings and restructurings, and general corporate and business matters.  Company boards and board committees seek his advice on fiduciary duty and corporate governance issues, and director and officer indemnification and advancement matters.

Mr. Burgdoerfer has represented private and publicly-held concerns headquartered in the United States and abroad.  He worked in Tokyo for two years on international transactions with one of the largest law firms in Japan and continues to work with large multinationals from his base in the U.S. today.  His prior experience abroad includes cross-border business acquisitions, international securities offerings, joint ventures and debt restructurings.

Mr. Burgdoerfer is Chair of the Firm's Auditor Letter Review Committee and has served on the Firm’s Management Committee.  He lectures and publishes frequently in the area of corporate and securities law and serves on related committees for the American Bar Association, and Northwestern University’s School of Law.  Mr. Burgdoerfer also applies his expertise on a pro bono and community service basis for the United Cerebral Palsy Association of Greater Chicago and as President of an alumni advisory Board for Indiana University.  He is a member of The Economic Club of Chicago.
